1. Website usage:

These terms and conditions govern the use of Idafi Technologies website development services. By engaging our services, you agree to be bound by these terms and conditions. If you do not agree to these terms and conditions, please do not use our website/services.

  1. Service Overview

Idafi Technologies provides website development services to clients. Our services include website design, website development, website maintenance, website pagespeed optimization, website security, SEO, digital marketing and related services. We reserve the right to modify or discontinue any of our services at any time without prior notice.

  1. Payment and refund policies

Idafi Technologies charges payments or subscription fees for its services. Our fees are based on the services requested by the client and are set forth in the contract between Idafi Technologies and the client. Fees must be paid in full before the start of the project, unless otherwise agreed upon. All fees paid to Idafi Technologies are non-refundable, except in cases where Idafi Technologies is unable to complete the project as agreed upon. In such cases, any fees paid for work not completed will be refunded after deducting payment gateway charges or convenience fees, if applicable to the client. Any additional work requested by the client that falls outside the scope of the initial project will be subject to additional fees. These fees will be agreed upon in writing by both parties before any additional work is started. If payment is not received within the agreed timeframe, Idafi Technologies may charge a late payment fee of 5%. This late payment fee will be added to the outstanding balance and must be paid in addition to the original project cost.

  1. Intellectual Property

All intellectual property rights related to the website developed by Idafi Technologies belong to the client. Idafi Technologies will not retain any rights to the website or any part of it, including the source code. Upon full payment of all fees, Idafi Technologies grants the client a non-exclusive, worldwide, and perpetual license to use the website and any related deliverables for their intended purposes. Idafi Technologies may use third-party materials, including but not limited to software, templates, and images, in the development of the website. Any third-party materials used will be subject to the terms and conditions of the third-party provider. The client acknowledges and agrees that Idafi Technologies is not responsible for any third-party materials, and that the client’s use of such materials will be subject to the terms and conditions of the third-party provider. The client warrants that they have the legal right to use any trademarks, service marks, or logos included in the website, and that such use does not infringe any third-party rights. The client acknowledges and agrees that Idafi Technologies is not responsible for any trademark, service mark, or logo infringement claims related to the website.

  1. Confidentiality

Idafi Technologies agrees to keep all client information confidential, including but not limited to client data, client files, and any other confidential information that may be disclosed during the course of the project. Idafi Technologies will not disclose this information to any third party without the client’s prior written consent, unless required by law.

  1. Warranty and Liability

Idafi Technologies provides its services on an “as is” and “as available” basis. We make no warranty, express or implied, regarding the website or any part of it, including but not limited to the website’s functionality, reliability, or suitability for a particular purpose. Idafi Technologies will not be liable for any damages arising from the use of the website or any part of it, including but not limited to direct, indirect, incidental, or consequential damages. The client assumes all risks associated with the use of the website.

  1. Termination

Either party may terminate the contract at any time for any reason upon written notice to the other party. Upon termination, Idafi Technologies will provide the client with all website files and related information. The client will be responsible for any outstanding fees due to Idafi Technologies.

  1. Governing Law and Jurisdiction

These terms and conditions will be governed by and construed in accordance with the laws of the state in which Idafi Technologies is located. Any dispute arising from these terms and conditions will be resolved in the courts of that state. The parties agree to submit to the personal jurisdiction of the courts of that state.

  1. Amendments

Idafi Technologies reserves the right to amend these terms and conditions at any time. We will notify clients of any changes to these terms and conditions via email or through our website. Your continued use of our services after any such changes constitutes your acceptance of the new terms and conditions.

  1. Entire Agreement

These terms and conditions constitute the entire agreement between Idafi Technologies and the client and supersedes any prior agreements or understandings, whether written or oral, relating to the services provided by Idafi Technologies. These terms and conditions may not be amended or modified except in writing signed by both parties.
